TalosGuardian LLC ("TalosGuardian," "we," "us," or "our") operates a software platform (the "Platform") that connects licensed security guard agencies ("Agencies") with individual security guards ("Guards") in order to help fill open security shifts. TalosGuardian is a technology marketplace only. TalosGuardian is not a security guard company, staffing agency, or employer of any Guard, and does not itself provide security guard services to any client.
By creating an account, accessing, or using the Platform, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you may not use the Platform.
3.1 Agencies. To register as an Agency, you must hold a valid, active license to operate as a Watch, Guard, and Patrol agency under the laws of New York State, and any other jurisdiction in which you operate. You are solely responsible for maintaining your license in good standing and for promptly updating your account if your license status changes, is suspended, or is revoked.
3.2 Guards. To register as a Guard, you must hold a valid, active New York State Security Guard Registration (or equivalent registration/license in the applicable jurisdiction), and must provide accurate registration information and supporting documentation as requested during sign-up.
4.1 TalosGuardian is a software tool that facilitates connections between Agencies and Guards. Agencies and Guards use the Platform to post, discover, accept, and manage shift coverage.
4.2 Any Guard who works a shift obtained through the Platform does so as the employee, contractor, or worker of the Agency that posted or accepted them for that shift — never as an employee, contractor, or worker of TalosGuardian. TalosGuardian does not direct, supervise, schedule (beyond facilitating the initial match), discipline, or pay any Guard for work performed. All employment relationships, wage payment, tax withholding, workers' compensation coverage, and related employer obligations are solely between the Agency and the Guard.
4.3 TalosGuardian is not a party to any agreement, arrangement, or understanding between an Agency and a Guard, and is not responsible for the performance, conduct, quality of work, or any dispute arising between them.
5.1 Agencies. TalosGuardian verifies an Agency's Watch, Guard, and Patrol license against the New York State Department of State's public licensee search (or equivalent public resource for the applicable jurisdiction) at the time of registration.
5.2 Guards. At sign-up, TalosGuardian collects a photo of a Guard's registration card. A Guard's stated NYS Security Guard Registration number is collected separately, at the Guard's own initiative from their profile, whenever they choose to add or update it. TalosGuardian does not verify Guard registration status against the New York State registry, because this lookup requires state-authorized access that is not publicly available to TalosGuardian. Verification of a Guard's registration status is solely the responsibility of the Agency that engages that Guard, consistent with each Agency's own independent obligations under applicable law (including 19 NYCRR § 174.6 or successor regulations). Agencies should not rely on a Guard's presence on the Platform as confirmation of registration validity.
The Platform uses location services to verify a Guard's on-site arrival and to record a Guard's location at departure ("Check-In Data"). Arrival is confirmed against the shift's site location within a defined radius before check-in is accepted; departure ("check-out") records location for the audit record but is not gated on distance, so a Guard is not locked out of ending a shift after being relieved or during a handoff. By using the Platform as a Guard, you consent to the collection of Check-In Data during active shift windows, as described in our Privacy Policy. Check-In Data is used to generate timesheets and to support dispute resolution between Agencies and Guards.
7.1 Agencies pay a recurring subscription fee based on the selected plan tier, as described on our Pricing page and processed through our payment provider (Stripe).
7.2 Guards are not charged any fee to use the Platform.
7.3 All fees are billed in advance and are non-refundable except as required by law or as otherwise stated at the time of purchase.
7.4 We may change our pricing with reasonable advance notice to active Agency subscribers.
You agree not to:
8A.1 Agencies and Guards agree not to use any introduction, connection, or relationship formed through the Platform to circumvent TalosGuardian for the purpose of avoiding applicable fees. Specifically, if an Agency and a Guard are matched or connected through the Platform, the Agency agrees not to engage that Guard directly for future shifts outside the Platform, for a period of twelve (12) months following the date of the Guard's most recent shift obtained through the Platform, without TalosGuardian's written consent.
8A.2 This provision does not restrict a Guard's right to seek or accept work from any Agency, nor does it create any employment restriction on a Guard. It is a contractual commitment by the Agency to TalosGuardian regarding its own use of the Platform.
8A.3 TalosGuardian reserves the right to charge a placement fee, in an amount to be determined, for any Guard engaged by an Agency outside the Platform in violation of this provision, in lieu of pursuing other remedies.
8A.4 TalosGuardian may waive or modify this provision at its discretion, including for Agencies on qualifying subscription tiers.
TalosGuardian may suspend or terminate any account for violation of these Terms, including for repeated or serious reliability issues tracked through the Platform's strike system. Guards subject to a strike or suspension may appeal through the process described within the Platform.
10.1 THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.
10.2 TALOSGUARDIAN DOES NOT GUARANTEE THE ACCURACY OF ANY INFORMATION PROVIDED BY AGENCIES OR GUARDS, INCLUDING LICENSING OR REGISTRATION INFORMATION, AND DOES NOT GUARANTEE THAT ANY GUARD MATCHED THROUGH THE PLATFORM IS SUITABLE FOR ANY PARTICULAR SHIFT OR CLIENT.
10.3 TALOSGUARDIAN IS NOT RESPONSIBLE FOR THE ACTS OR OMISSIONS OF ANY AGENCY OR GUARD, INCLUDING ANY INJURY, LOSS, OR DAMAGE ARISING FROM SECURITY SERVICES PERFORMED.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TALOSGUARDIAN'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO TALOSGUARDIAN IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. TALOSGUARDIAN SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
You agree to indemnify and hold harmless TalosGuardian from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Platform, your violation of these Terms, or your violation of any law or third-party right.
These Terms are governed by the laws of the State of New York, without regard to conflict of law principles. Any dispute arising under these Terms shall be resolved exclusively in the state or federal courts located in New York State.
We may update these Terms from time to time. Continued use of the Platform after changes take effect constitutes acceptance of the updated Terms.
